Axcellerate Growth Package — Plain English Terms & Conditions
1. Overview & Service Scope
Business-to-Business: This agreement is between Axcellerate ("the Agency") and the Client for commercial business services only.
Services Included: Setup and ongoing management of the Local SME Growth Package, including Website Build/Refresh, Local SEO, Google Business Profile (GBP) Optimisation, Google Ads Management, and Analytics Tracking.
2. Fees & Payments
Setup Fee: A fixed, non-refundable charge of £995, payable 100% upfront before work begins.
Monthly Retainer: £99 per calendar month, paid strictly in advance via Direct Debit or recurring payment.
Ad Budget Excluded: All Google Ads spend is paid directly by the Client to Google using the Client’s own payment card. Ad spend is separate from Agency management fees.
Late Payment: If a monthly payment is overdue by more than 7 days, services, active ad campaigns, and website updates may be paused until payment clears.
3. Contract Term & Cancellation
Initial Term: To allow enough time to build, launch, and optimize your campaigns, there is a 90-day minimum agreement starting from launch date.
Rolling Monthly Contract: After the initial 90 days, the agreement rolls month-to-month.
Cancellation: Either party can cancel after the 90-day period by giving 30 days' written email notice before the next billing date.
4. What We Need From You
Timely Access & Assets: You agree to provide domain access, Google logins, business photos, logos, and ad billing details within 7 days of starting.
Client Delays: Delays in providing assets, feedback, or approvals will not delay the start of recurring monthly billing.
5. Results & Disclaimers
Search Engine Changes: We use industry-standard practices, but third-party platforms like Google update their algorithms frequently. We cannot guarantee specific ranking positions, Map Pack placements, or fixed click volumes.
Sales & Revenue: We focus on driving targeted local visibility and traffic. Final sales conversions depend on your team, pricing, reputation, and market demand, so revenue amounts cannot be guaranteed.
6. Ownership & Assets
Ownership Transfer: Once all setup fees and active monthly invoices are paid in full, you own 100% of the website design, graphic assets, domain, and campaign accounts.
Case Studies: You grant us permission to showcase the finished website and non-confidential growth metrics in our agency portfolio.
7. Liability & Governing Law
Liability Cap: To the maximum extent permitted by English law, the Agency’s total combined liability for any issue arising under this agreement is limited to the total fees paid by the Client in the previous 3 months.
Governing Law: This agreement is governed exclusively by the laws of England and Wales.
